1. Overview and Acceptance

These Terms of Service ("Terms") govern your access to and use of the RecapCards website, applications, and services, including any AI‑powered recap generation, dashboards, analytics, and related tools (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference.

"RecapCards," "we," "us," and "our" refer to RecapCards, Inc. and its affiliates. "Customer," "you," and "your" refer to the person or organization using the Services.

2. Eligibility, Term, and Changes

You must be at least 18 years old and able to enter a binding contract to use the Services.

These Terms remain in effect while you access or use the Services; provisions that by their nature should survive termination will continue in force, including payment obligations, confidentiality, intellectual property, limitations of liability, and dispute provisions.

We may update these Terms at any time by posting the revised version on our website, and your continued use of the Services following any changes constitutes acceptance of the updated Terms.

3. Description of Services

RecapCards provides tools to turn text, links, and other inputs into formatted recap cards and analytics for internal and external sharing.

Depending on your plan and configuration, the Services may include:

  • Capturing and processing content you submit (e.g., text, links, uploaded files) to generate summaries, recap cards, and structured data.
  • Storing recap outputs and underlying data so you can view, edit, and reuse them.
  • Dashboards showing usage, trends, and performance over time.

Data Storage Notice: RecapCards stores Customer Data and generated content on its internal systems to operate the Services, improve features, and train models as permitted by these Terms and the Privacy Policy.

4. Accounts and Customer Responsibilities

To use most Services, you may need to create an account and configure your settings. You agree to:

  • Provide accurate, current, and complete information and keep it updated.
  • Maintain the confidentiality of your login credentials and restrict access to authorized users only.
  • Notify us promptly of any unauthorized access or suspected security issue.

You are solely responsible for:

  • The content you upload or input into the Services, including any personal or confidential data.
  • Ensuring you have all necessary rights and consents to use that content with RecapCards.
  • Compliance with laws and industry rules that apply to your business and recipients.

If you connect RecapCards to third‑party tools (e.g., CRMs, storage, communication platforms), you are responsible for those relationships, configurations, and permissions.

5. Customer Data and Use of Data

"Customer Data" means content, data, and materials you or your users submit to the Services, including recap inputs, outputs, and associated metadata.

You retain ownership of Customer Data, subject to the license you grant below. You grant RecapCards a non‑exclusive, worldwide, royalty‑free license to:

  • Use, reproduce, store, process, and transmit Customer Data as necessary to provide and support the Services.
  • Generate aggregated and/or de‑identified data derived from Customer Data and usage of the Services, which RecapCards may use for analytics, improving the Services, developing new features, and other legitimate business purposes.

RecapCards will not disclose Customer Data in a way that identifies you or your users publicly except as described in the Privacy Policy, required by law, or with your consent.

6. Payment and Subscriptions

If you purchase a paid plan:

  • Fees, billing cycles, and payment terms are as described at checkout or in an order form.
  • You authorize us and our payment processors to charge your chosen payment method as agreed.
  • We may suspend or terminate access for unpaid or overdue amounts, subject to applicable law.

Unless stated otherwise, subscriptions automatically renew for successive periods unless you cancel before the end of the then‑current term.

7. Acceptable Use

You must not:

  • Use the Services in violation of any law, regulation, or third‑party rights.
  • Upload or generate content that is unlawful, harmful, deceptive, infringing, or otherwise objectionable.
  • Attempt to bypass security or interfere with the operation or integrity of the Services.
  • Reverse engineer or attempt to derive the source code or underlying models, except where permitted by law.

We may investigate and, where appropriate, suspend or terminate access for violations of this section.

8. Intellectual Property

RecapCards owns all rights, title, and interest in and to the Services, including software, models, interfaces, designs, and documentation, as well as improvements and derivatives.

Subject to your compliance with these Terms and payment of applicable fees, RecapCards grants you a limited, non‑exclusive, non‑transferable, revocable license to access and use the Services for your internal business purposes during your subscription.

You may not sublicense, resell, or commercially exploit the Services except as permitted in a separate written agreement. If you provide feedback or suggestions, RecapCards may use them without obligation to you.

9. Third‑Party Services

The Services may connect to third‑party services (e.g., storage providers, communication tools, integrations), which are governed by their own terms and privacy policies.

RecapCards is not responsible for the content, performance, or security of third‑party services and does not guarantee their availability or behavior.

10. Disclaimers

To the fullest extent permitted by law, the Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory.

RecapCards disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non‑infringement, and does not guarantee uninterrupted, error‑free, or completely secure operation, or any specific results from use of the Services.

11. Limitation of Liability

To the fullest extent permitted by law, RecapCards will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenues, data, or goodwill, arising from or related to your use of the Services, even if advised of the possibility of such damages.

To the extent permitted by law, RecapCards' total cumulative liability for all claims arising out of or relating to the Services will not exceed the amounts you paid to RecapCards for the Services in the twelve (12) months preceding the event giving rise to the claim.

12. Termination

You may stop using the Services at any time. We may suspend or terminate access to the Services if you violate these Terms, fail to pay required fees, or pose a security, operational, or legal risk.

Upon termination, your right to use the Services ends, but sections that by their nature should survive—including data licenses to aggregated and de‑identified data, intellectual property, disclaimers, limitations of liability, and dispute provisions—will remain in effect.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Georgia, without regard to conflict of law rules.

Any dispute arising out of or relating to these Terms or the Services will be resolved in the state or federal courts located in Fulton County, Georgia, and you consent to the personal jurisdiction of those courts.
